Terms of Service
These terms are intended to govern your use of the DrayBase platform and any related services we make available to you. Once they are final, creating an account or dispatching a load through DrayBase will mean you accept them on behalf of your company.
DrayBase is in early access. Sections tagged Planned describe modules that are not built yet: they say how we intend those parts to work, and they will apply to you only once we release the module to your account and tell you so in writing.
1 · Who can use DrayBase
DrayBase is sold to motor carriers, drayage operators and their agents. You must be authorised to bind your company, and your company must hold the operating authority it represents to us. During early access, accounts are created by invitation and we open availability port by port — our first market is NY / NJ.
2 · Your account and your people
You are responsible for what happens under your account, including the actions of every user you invite to it. Keep credentials private, use a password you do not reuse anywhere else, and remove people when they leave your company. Tell us promptly if you think an account has been compromised.
3 · Your data stays yours
Loads, containers, chassis records, documents, rates and invoices you put into DrayBase remain your property. We process them to run the service for you. We do not sell them, and we do not use one carrier’s rate data to price another carrier’s freight.
You can export your data at any time while your account is active, and for 60 days after it closes.
4 · What the automated agents will and will not doPlanned
DrayBase is being built with automated agents that read your operational data and produce suggestions, alerts and drafts. They are not available yet. When they are, the default will be that no agent changes the state of a load, an invoice or an assignment without a person approving it; if you raise an agent’s autonomy above that default, you accept responsibility for the actions taken at that level.
Agent output is a recommendation, not professional advice, and it can be wrong. Free time, appointment windows, detention exposure and rating remain your obligation to verify against the terminal, the steamship line and your customer contract.
5 · Third-party systemsPlanned
DrayBase is designed to connect to terminal appointment systems, chassis pools, ELD providers, accounting software and messaging carriers. None of those connections is live today. As each one goes live, the system on the other side stays outside our control: when it is slow, wrong or unavailable, we will report what we know on our status page and we do not accept liability for its failures.
6 · Fees and billing
Fees are set out in your order form and in the plan you sign up for. The plans themselves — what each one includes and what it costs — live on the pricing page, and are deliberately not repeated here so the two texts can never disagree.
Annual plans are billed in advance and are non-refundable except where the law requires otherwise. Monthly plans can be cancelled effective the end of the current period. We will give at least 60 days’ written notice before a price change takes effect on your renewal.
7 · Availability
During early access we do not offer a contractual availability commitment and we do not offer service credits. We have no measured uptime to publish yet, and we would rather say so than quote a number we cannot evidence.
What we do commit to is operational: we aim to keep the dispatch surface available through East Coast gate hours, to schedule planned maintenance outside them where possible, and to announce it in advance. If we ever commit to a measured availability target, it will be in a signed agreement and backed by published measurements.
8 · Acceptable use
- Do not use DrayBase to move freight you are not authorised to move.
- Do not upload driver or personal data you do not have the right to process.
- Do not attempt to extract another carrier’s data, probe our infrastructure, or resell access.
- Do not use the platform to send messages a recipient has opted out of receiving.
9 · Suspension and termination
We can suspend an account for non-payment after written notice, or immediately where continued use creates a security, legal or safety risk. You can close your account at any time. On termination we keep your data available for export for 60 days, then delete it on a documented schedule.
10 · Liability
DrayBase is a system of record and a decision aid. It does not drive trucks, does not hold cargo and does not act as a broker or a carrier. Our aggregate liability is limited to the fees you paid in the twelve months before the claim. We are not liable for per-diem, demurrage, detention, missed appointments, cargo loss or consequential damages.
Nothing here limits liability for fraud, wilful misconduct or anything that cannot be limited under applicable law.
11 · Changes
We may update these terms. Once a final version is in force, material changes will get at least 30 days’ notice by email and in the product, and the status and effective date at the top of this page will always tell you which text applies.
